Terms of Service

Operator: Fermion Inc.

Introduction

These Terms govern your use of tex64.com, the TeX64 desktop app, and TeX64 Platform services (including accounts, AI features, usage tracking, support, and billing). By installing, accessing, or using the service, you agree to these Terms.

Service

TeX64 provides a local-first desktop editor for macOS and Windows. Core editing, project storage, building, PDF preview, SyncTeX, and math OCR run locally. Building requires a TeX distribution; after you confirm the action, TeX64 may download and install a managed TeX Live environment in an app-managed folder. Optional account, Axiom AI, billing, update, feedback, and diagnostic functions use the internet through the relevant flow. Microsoft Store manages updates for the Windows Store version.

Software license

The TeX64 desktop app may also be subject to the license/EULA and distribution-platform terms presented when you obtain it. These Terms apply alongside those terms to the desktop app and the online services provided through tex64.com. Third-party components, including TeX Live packages, remain subject to their respective licenses.

Accounts

You are responsible for activities under your account and for maintaining the security of your devices and credentials. You must provide accurate information and may not share access in a way that violates these Terms or applicable law.

Acceptable Use

You must not misuse the service, bypass technical limits, attempt unauthorized access, or use it for unlawful, abusive, or harmful activity. We may rate-limit or block abusive traffic.

Billing

The Windows app is available as a free download from Microsoft Store. Optional Basic ($12/month) and Pro ($25/month) Axiom AI subscriptions are sold and billed by Fermion through Stripe, not Microsoft Store. Subscriptions auto-renew each billing period until canceled; final currency, taxes, and total price are shown before confirmation. Feature availability follows your account and payment status (e.g., active, grace, past due, canceled).

Cancellation

You can cancel a subscription from the billing management screen (Stripe Billing Portal). Unless otherwise stated at checkout, cancellation stops future renewals and access continues until the end of the current billing period.

Refunds

In principle, subscription fees are non-refundable and we do not provide prorated refunds or credits, except where required by applicable law. If you believe you were charged in error, contact support with your invoice or billing ID.

AI features

Axiom AI and OCR outputs may be inaccurate or incomplete and are provided for assistance only. When you invoke Axiom, its prompt and necessary project context are sent to the configured AI service, currently OpenAI API. Math OCR runs locally, and selected screen or image captures are not sent to OpenAI. You are responsible for reviewing inputs and verifying outputs before use. Do not submit confidential, personal, or sensitive information to Axiom unless you have the right to do so and accept the provider's processing.

Suspension and Termination

We may suspend or terminate access if we detect abuse, security risk, payment failure, or violations of these Terms or applicable policies.

Intellectual property

You retain rights to your content. You grant us a limited right to process your input only to operate and improve the service (for example, to provide AI responses and support). We retain all rights to the service, software, and branding.

Liability

The service is provided on an 'as is' and 'as available' basis without warranties. To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages.

Governing law / jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes arising from the service, unless mandatory law provides otherwise.

Changes

We may update these Terms as the service evolves. Updated terms will be posted on this page with the revised date. Continued use after changes means you accept the updated Terms.
